These Terms of Service ("Terms") govern your access to and use of the Scovai platform, website, and related services ("Service") operated by Scovai ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Definitions
- "Platform" means the Scovai web application, API, and all associated services
- "Tenant" means an organisation that has registered for a Scovai account
- "Recruiter" means a user with recruiter permissions within a Tenant
- "Candidate" means an individual whose data is processed through the Platform for recruitment purposes
- "Content" means any data, text, documents, or materials uploaded to or generated by the Platform
2. Account Registration
To use the Platform, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorised access
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
3. Service Plans
Scovai offers multiple service plans (Free, Starter, Pro, Enterprise) with varying feature limits and usage quotas. Plan details, pricing, and limits are described on our pricing page. We reserve the right to modify plan features and pricing with 30 days' prior notice to existing subscribers.
4. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of employment discrimination laws
- Upload false, misleading, or fraudulent candidate data
- Attempt to reverse-engineer, decompile, or extract AI models or algorithms
- Use the Platform to build a competing product or service
- Circumvent security measures, rate limits, or access controls
- Share API keys or credentials with unauthorised parties
- Use AI-generated scores as the sole basis for hiring decisions without human oversight
5. AI-Powered Features
5.1 Nature of AI Outputs
Scovai uses artificial intelligence to generate job descriptions, parse CVs, score candidates, conduct assessments, and produce interview evaluations. AI outputs are recommendations and tools to assist human decision-making — they are not deterministic or infallible.
5.2 Human Oversight Requirement
In accordance with the EU AI Act, you acknowledge and agree that:
- AI-generated scores, rankings, and assessments must be reviewed by a qualified human before making employment decisions
- The Platform provides explainability information for all AI outputs to facilitate meaningful human oversight
- You will not rely solely on automated outputs for decisions that significantly affect candidates
5.3 AI Accuracy
While we strive for accuracy and fairness, AI outputs may contain errors or biases. We provide bias monitoring tools, but ultimate responsibility for fair hiring practices rests with the Tenant.
6. Data Ownership and Licensing
6.1 Your Data
You retain ownership of all data you upload to the Platform (CVs, job descriptions, candidate information). By uploading data, you grant Scovai a limited licence to process it as necessary to provide the Service.
6.2 AI-Generated Content
Content generated by the Platform's AI features (job descriptions, scores, reports, assessments) is provided for your use within the context of the Service. You may use AI-generated job descriptions and reports for your recruitment purposes.
6.3 Aggregated Data
We may use anonymised, aggregated data (not identifiable to any individual or organisation) to improve our services, generate benchmarks, and conduct research.
7. Data Protection
Our processing of personal data is governed by our Privacy Policy and, where applicable, a Data Processing Agreement (DPA). Tenants acting as data controllers are responsible for ensuring they have a lawful basis (including obtaining necessary consents) for processing candidate data through the Platform.
8. API Access
Tenants with API access must:
- Keep API keys secure and rotate them periodically
- Respect rate limits and usage quotas associated with their plan
- Not share API keys across applications or with third parties without authorisation
- Comply with the API documentation and webhook specifications
9. Service Availability
We aim to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience downtime. We will endeavour to provide advance notice for planned maintenance. The Platform is provided "as is" and "as available".
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- Scovai shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of the Service
- Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not liable for hiring decisions made using our AI outputs, nor for any employment disputes arising from the use of the Platform
11. Indemnification
You agree to indemnify and hold Scovai harmless from any claims, damages, or expenses arising from:
- Your violation of these Terms
- Your use of the Platform in a manner that violates applicable employment or data protection laws
- Hiring decisions made based on Platform outputs without appropriate human oversight
12. Termination
Either party may terminate the service relationship with 30 days' written notice. Upon termination:
- Your access to the Platform will be deactivated
- You may request a data export within 30 days of termination
- Your data will be deleted within 90 days of termination, except where retention is required by law
13. Governing Law
These Terms are governed by the laws of the European Union and the applicable national law of the jurisdiction in which Scovai is established. Disputes shall be resolved through the competent courts of that jurisdiction, without prejudice to your right to bring proceedings in your own Member State.
14. Changes to These Terms
We may update these Terms with 30 days' prior notice. Continued use of the Service after the effective date constitutes acceptance. Material changes will be communicated via email and a notice on the Platform.
