1. Preamble & Definitions
These Candidate Terms of Service ("Terms") govern your access to and use of the SCOVAI platform ("Platform") as an individual user ("Candidate", "you", "your"). The Platform is operated by OmniSage LLC ("SCOVAI", "we", "us", "our"), a New Mexico limited liability company.
By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy.
1.1 Definitions
- "Platform" means the SCOVAI web application, mobile interfaces, APIs, and all associated services available at scovai.com and its subdomains.
- "Mike" (M.I.K.E.) means Multirole Intelligence for Knowledge & Empowerment, the AI persona that powers all AI-driven interactions on the Platform, including support chat, interviews, coaching, and career guidance.
- "Cortex" means the AI engine that powers Mike, combining local AI models and cloud AI providers to deliver intelligent services.
- "Talent Passport" means the certifiable digital credential that aggregates your assessment results, verified skills, and career profile into a shareable document.
- "Assessment" means any evaluation conducted through the Platform, including technical assessments, psychometric profiling (Big Five, Culture Fit, Leadership), cognitive profiling, and Skill Proof certifications.
- "Integrity Shield" means the behavioral monitoring system that ensures assessment authenticity. It is advisory only and never results in automatic rejection.
- "Tenant" means an organisation (employer or recruiter) that uses the Platform for recruitment purposes.
- "Content" means any data, text, documents, images, or materials uploaded to or generated through the Platform.
2. Eligibility & Account Management
2.1 Age Requirement
You must be at least 16 years of age to create an account and use the Platform. If you are under 18, you represent that you have obtained parental or guardian consent.
2.2 One Account Policy
Each individual may maintain only one active account on the Platform. Creating multiple accounts to circumvent plan limits, assessment cooldowns, integrity measures, or any other restriction is prohibited and may result in account termination.
2.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised access or security breach.
2.4 Account Verification
We may require identity verification at various stages, including but not limited to registration, assessment completion, and Talent Passport certification. Verification methods may include email confirmation, phone verification, and optional biometric verification.
3. Service Description
SCOVAI provides an AI-powered career development and talent matching platform that enables you to:
- Create and maintain a professional profile with CV parsing and skill extraction
- Receive AI-powered job matching based on semantic analysis of your skills and experience
- Complete assessments (technical, psychometric, cognitive, and skill proof) to validate your capabilities
- Participate in AI-conducted career interviews with Mike
- Receive personalised career coaching and learning recommendations
- Build and share a Talent Passport that certifies your verified skills and assessment results
- Apply to positions published by Tenants on the Platform
- Access insights and analytics about your career profile and market positioning
4. Candidate Plans & Subscriptions
The Platform offers the following subscription tiers for candidates:

4.1 Billing
Paid subscriptions are billed on a monthly or annual basis through Stripe. Prices are displayed in your selected currency. You may cancel at any time; cancellation takes effect at the end of the current billing period. No pro-rata refunds are provided for partial periods.
4.2 Plan Changes
You may upgrade your plan at any time. Downgrades take effect at the end of the current billing period. When downgrading, access to gated features will be restricted once the current period expires, but your data and assessment results are retained.
5. AI-Powered Features & Transparency
5.1 Mike AI Persona
All AI-driven interactions on the Platform are conducted by Mike (M.I.K.E. — Multirole Intelligence for Knowledge & Empowerment). Mike is an AI assistant, not a human. When interacting with Mike, you are interacting with artificial intelligence software.
5.2 AI Transparency
In compliance with the EU AI Act (Regulation 2024/1689), we disclose the following:
- AI models used for assessment generation, scoring, and career analysis are hosted on our own GPU infrastructure. Your data is processed locally and is not sent to external cloud AI providers, except for job description generation which uses the Anthropic Claude API.
- AI outputs (scores, reports, personality profiles, career recommendations) are generated by statistical models and may contain inaccuracies or biases.
- You have the right to request human review of any AI-generated assessment or decision that affects you.
- Explainability information is provided for all AI-generated outputs.
5.3 AI Data Processing
Your consent for specific AI-powered features (CV scoring, psychometric profiling, interview analysis, cognitive assessment, career coaching) is collected separately and can be managed at any time from your Privacy settings. See our Privacy Policy for details.
6. Talent Passport
6.1 Certification Levels
The Talent Passport is a progressive credential with four certification levels:

6.2 Passport Validity
Assessment results and certifications within the Talent Passport have defined validity periods. Skill Proof certifications expire after 12 months. You may retake assessments subject to cooldown periods to maintain or improve your credentials.
6.3 Sharing & Verification
You may share your Talent Passport via a unique verification URL. Third parties can verify the authenticity of your Passport through the Platform's verification system. Sharing is subject to your explicit consent and can be revoked at any time.
7. Assessment Rules & Integrity
7.1 Assessment Conduct
When completing assessments, you agree to:
- Complete assessments independently without external assistance (unless explicitly permitted)
- Not use automated tools, screen-sharing, or AI assistants to answer assessment questions
- Not share assessment content, questions, or answers with third parties
- Provide honest and authentic responses, particularly in psychometric assessments
7.2 Integrity Shield
The Platform employs an Integrity Shield system that monitors assessment sessions for behavioral indicators of dishonesty. Important disclosures:
- The Integrity Shield is advisory only — it never results in automatic rejection or disqualification of candidates (in compliance with EU AI Act Article 14 requiring human oversight).
- Integrity signals are shared with recruiting organisations as supplementary information, not as deterministic verdicts.
- Psychometric assessments have integrity monitoring disabled, as these measure preferences rather than correctness.
- Sessions flagged as HIGH_RISK are quarantined from the Talent Passport pending review.
7.3 Cooldown Periods
Certain assessments enforce cooldown periods between attempts to ensure meaningful retesting. Cooldown schedules vary by assessment type and attempt number. These cooldowns cannot be circumvented by creating additional accounts.
8. Intellectual Property Rights
8.1 Your Content
You retain ownership of all Content you upload to the Platform (CVs, cover letters, profile information, assessment responses). By uploading Content, you grant SCOVAI a limited, non-exclusive licence to process, store, and analyse it as necessary to provide the Service.
8.2 Platform Content
The Platform, its design, AI models, assessment methodologies, scoring algorithms, and all associated intellectual property are owned by OmniSage LLC and protected by applicable intellectual property laws, including Patent PCT/IB2026/052435.
8.3 AI-Generated Content
Content generated by the Platform's AI (career insights, coaching recommendations, interview reports) is provided for your personal use. You may reference AI-generated career guidance in your professional activities but may not reproduce or distribute Platform-generated content commercially.
9. Prohibited Conduct
You agree not to:
- Provide false, misleading, or fraudulent information in your profile, CV, or assessments
- Impersonate another person or create accounts on behalf of others
- Attempt to reverse-engineer, decompile, or extract AI models, algorithms, or assessment content
- Use the Platform to build a competing product or service
- Circumvent security measures, rate limits, plan restrictions, or assessment integrity controls
- Share, reproduce, or distribute assessment questions, content, or scoring methodologies
- Use automated tools (bots, scrapers, AI assistants) to interact with the Platform or complete assessments
- Harass, abuse, or send inappropriate content through the Platform's messaging or chat features
10. Data & Privacy
Our processing of your personal data is governed by our Privacy Policy. Key points:
- You may access, correct, export, or delete your personal data at any time from your Privacy settings
- AI-powered data processing requires your explicit, granular consent which can be withdrawn at any time
- Your data is stored on servers within the European Union
- We comply with GDPR, the EU AI Act, and applicable data protection regulations

11. Limitation of Liability
To the maximum extent permitted by applicable law:
- SCOVAI shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from your use of the Service
- Our total aggregate liability for any claim shall not exceed the fees paid by you in the 12 months preceding the event giving rise to the claim, or EUR 100, whichever is greater
- We are not liable for employment decisions made by Tenants using information from your profile, assessments, or Talent Passport
- We do not guarantee employment outcomes, job placement, or career advancement
- AI-generated insights, scores, and recommendations are provided as informational tools and do not constitute professional career advice
12. Indemnification
You agree to indemnify, defend, and hold harmless OmniSage LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms
- Your provision of false or misleading information
- Your breach of assessment integrity rules
- Any third-party claims arising from your use of the Platform
13. Disclaimers
The Platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding:
- The accuracy, completeness, or reliability of AI-generated assessments, scores, or recommendations
- The availability or uninterrupted operation of the Platform
- The suitability of job matches or career guidance for your specific circumstances
- The actions or decisions of Tenants who access your profile or assessment data
14. Termination
14.1 Termination by You
You may delete your account at any time from your account settings. Upon deletion, your profile, assessment data, and Talent Passport will be permanently removed within 90 days, except where retention is required by law or for legitimate business purposes.
14.2 Termination by Us
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or compromise assessment integrity. We will provide notice of termination where practicable.
14.3 Effect of Termination
Upon termination, your right to access the Platform ceases. You may request a data export within 30 days of termination. Sections 8, 10, 11, 12, and 13 survive termination.
15. Dispute Resolution
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New Mexico, USA, without regard to its conflict of law provisions, and where applicable, the laws of the European Union including GDPR and the EU AI Act.
15.2 Dispute Process
In the event of a dispute, you agree to first attempt resolution through informal negotiation by contacting us at legal@scovai.com. If the dispute is not resolved within 30 days, either party may pursue resolution through binding arbitration or the competent courts of the State of New Mexico, or your local jurisdiction where required by applicable consumer protection law.
16. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and GDPR Policy, constitute the entire agreement between you and SCOVAI regarding your use of the Platform as a Candidate.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Failure to enforce any provision shall not constitute a waiver of that provision.
- Assignment: We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights under these Terms.
- Modifications: We may update these Terms with 30 days' prior notice. Continued use after the effective date constitutes acceptance. Material changes will be communicated via email and a notice on the Platform.
